Please read this legal agreement, it is important. It involves what you can and can’t do    and what we will and won’t do.   1. This Agreement
    1. ‘We’ and ‘us’ refers to Anderstand Limited and Highams Systems Services Group PLC.  Use of this site is by agreement with Anderstand Limited and Highams Systems Services Group PLCand does not involve its directors or employees personally.
    2. We can change this agreement and will make updates by posting them to this site, you agree to the revised agreement by continuing to use the site.
    3. This agreement is made under the laws of England and Wales and is subject to the jurisdiction of the English courts only.
    4. The laws of your country may constrain what you can do; this agreement does not change that. You agree to investigate and obey all applicable laws.
    5. If any part of this agreement is found to be unfair or struck out then the remainder of the agreement will still stand.
    6. If you are unhappy or in dispute with us, you should contact us immediately and in any event within 5 days.
    7. This agreement takes precedence over any other agreement you may have had with us.
    8. If you are below the age at which you can agree to this, you must not use this site without the consent of your parent or guardian.
    9. In the case of disagreement we may choose to require mediation and/or binding arbitration as your sole remedy.
  2. General
    1. Unauthorised framing or deep linking are prohibited. Normal linking is encouraged. You must not create any link to any automatically generated site, search engine farm or spam site. You must not engage in search engine spamming.
    2. You must not redirect any webpage to one on this site, nor consent to this being done. This includes redirection of a domain name using a meta tag, JavaScript, PHP or any language.

The contract is purely between the buyer and the seller, although we do reserve the right to investigate any activity and take appropriate action. You personally accept full responsibility.
    12. We may review any material on this site.
    13. We may delete any material on this site, without notice or reason.
  3. Recruitment
    4. You agree that in the event that you or the company for whom you work find employment for, or provide employment to, someone you have met on this site, whether such employment is in a permanent, contract or interim management manner, you will pay Highams Group 17.5% of that person’s fees for as long as you employ them if they are employed as a contractor or interim manager or 15% of that person’s annual salary if they are employed as a permanent recruit. VAT will be payable in addition.
  4. Payment to us
    1. Cleared funds should be paid within 28 days.  In the case of a cheque please allow 5 working days for the cheque to clear.
    2. If funds are late:
      1. We may employ a debt collection agency; you agree to pay their fees for this process.
      2. We may sell the debt to a third party.
      3. We may charge interest at our own cost of borrowing plus three times the Bank of England base rate.
      4. We may charge you all fees incurred during the collections process, including our time, legal fees and court costs.
  5. Payment from us
    1. We intend to pay within 28 working days after the end of the month in which payment becomes due.
    2. Payments may be suspended if fraud or suspicious activity is suspected; if so the payment will not become due until the investigation is completed to our satisfaction.
    3. If suspicious activity is found then we owe you nothing.
    4. The cost of a suspicious activity investigation may be charged to you.
    5. We do not pay interest on outstanding amounts
  6. No Warranty
    1. There is no warranty from us, neither expressed nor implied in relation to this site, content on this site, the availability of this site, uninterrupted use or otherwise.
    2. We do not check out members or their credentials so you should take appropriate precautions.
    3. You agree to indemnify us and keep us indemnified in the event of any breach by you (or by any other person as a result of your action or omission) in respect of all losses, actions, claims and rights, whether directly or indirectly, including (without any limitation) personal injury, loss of profits, financial loss, theft, loss, damage, death and property loss. You agree not to cause any such losses. This applies both online and offline. This indemnity to us will extend to our subsidiaries, employees, directors, officers, agents and partners and will cover any and all losses, claims and demands, including interest and legal fees.
    4. If you find at any time that this site contains incorrect, libellous, slanderous or inaccurate information, you must inform us immediately.
    5. This site may fail at any time, so you must not rely on the site, its service or any user.
    6. Not withstanding this, any payment by us to you as a result of any loss shall be limited to no more than the total you have paid to us in the 12 months previous to the loss
  1. Termination
    1. We reserve the right to terminate your account without notice, reason or explanation and without any liability to you.
    2. If we change the terms of this agreement you may within 24 hours after we have published the change on the site stop using the site, but if after that you continue to use the site you will be deemed to have consented to the change.
  2. Intellectual Property
    1. You will under no circumstances acquire any intellectual property rights from us as a result of your using this site.
    2. You agree to let us know immediately, if you become aware of any material on this site which may infringe any rights of any third party.
    3. You agree to only transmit material to us for which you own all the rights to, including moral rights.
    4. You are solely responsible for everything you transmit to us.
    5. You grant us a non-exclusive, transferable, permanent, fully paid-up, world wide licence to do anything we like with anything you transmit to us.
    6. You agree to waive your moral rights to any material you transmit to us.
    7. You agree not to sue us for the use by us or by others of your intellectual property on this site
